FestiShare User Agreement

Welcome to FestiShare! This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Party Express 360 LLC, the owner and operator of the FestiShare platform ("FestiShare," "we," "us," or "our"). This Agreement governs your access to and use of the FestiShare website, mobile applications, and services (collectively, the "Platform").
By creating an account, purchasing a ticket as a guest, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you may not use the Platform.
1. The FestiShare Platform
FestiShare is an online marketplace that enables registered users ("Hosts") to publish, advertise, and manage events, and allows other users ("Event-Goers") to discover, purchase tickets for, and attend those events. Certain events may also permit ticket purchases by unregistered guests ("Guest Purchasers") subject to Section 2(b) below. FestiShare acts solely as an intermediary technology platform and is not the organizer, creator, promoter, or owner of any event listed on the Platform.
2. Eligibility, Account Registration, and Guest Purchases
(a) Registered Accounts
- Age Requirement: You must be at least 18 years of age to create an account and use the Platform. By creating an account, you represent and warrant that you meet this requirement.
- Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep that information up to date. FestiShare reserves the right to suspend or terminate accounts found to contain false or misleading information.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account.
- Email Verification: Accounts created through the standard registration flow require email verification before full access is granted. Accounts created during the ticket checkout flow are activated immediately; however, you will be prompted to verify your email address at your next login. Continued failure to verify your email may result in restricted account access.
(b) Guest Purchases
Where permitted by the Host of a specific event, you may purchase a ticket without creating an account ("Guest Purchase"). As a Guest Purchaser:
- You must provide a valid email address. Your ticket confirmation and QR code will be delivered to that address. FestiShare is not responsible for tickets that cannot be delivered due to an incorrect email address.
- You must be at least 18 years of age. By completing a Guest Purchase you represent that you meet this requirement.
- You are still bound by all applicable terms of this Agreement, including the Event-Goer conduct rules in Section 4 and the payment and refund terms in Section 5.
- You may create a FestiShare account at any time using the same email address used for your Guest Purchase. Upon account creation, your ticket will be automatically linked to your new account, giving you access to in-app ticket management and event group chat.
- Guest tickets are non-transferable. The name on the ticket must match the attendee presenting it at the door unless the Host expressly allows transfers.
3. Terms for Hosts
By listing an event on the Platform, you agree to the following terms in addition to the general terms of this Agreement.
- Accurate Listings: You are solely responsible for providing accurate and complete event information, including dates, times, location, ticket pricing, capacity, age restrictions, dress code, and any other applicable rules or restrictions. Material changes to a listed event must be communicated to ticket holders promptly.
- Legal Compliance: You represent and warrant that you hold all necessary permits, licenses, venue agreements, and permissions required to host your event. Your event and your use of the Platform must comply with all applicable local, state, and federal laws, regulations, and health and safety standards. Events involving illegal activities of any kind are strictly prohibited. See Section 6 for a list of prohibited event types.
- FestiShare Service Fee: FestiShare retains a service fee of 5% of each ticket's face value, deducted automatically from ticket sale proceeds before payout to the Host. This fee is separate from, and in addition to, any payment processing fees charged by third-party payment processors (e.g., PayPal), which are also deducted from proceeds. Your net payout per ticket is therefore: ticket price − 5% FestiShare fee − applicable processing fees. By listing an event you acknowledge and agree to this fee structure.
- Event Creation Fee: There is currently no upfront fee to create or list an event. FestiShare reserves the right to introduce listing fees in the future, with advance notice to Hosts.
- Payouts: Ticket sale proceeds, net of fees described above, will be remitted to the Host's designated payment account within 1–7 business days after the successful conclusion of the event. Payouts may be delayed or withheld without prior notice if FestiShare has a reasonable basis to suspect fraud, chargebacks, misrepresentation, or a violation of this Agreement. FestiShare reserves the right to hold funds for up to 90 days in connection with an active investigation.
- Cancellations by Host: If you cancel an event after tickets have been sold, you are obligated to provide full refunds to all ticket purchasers. FestiShare will process these refunds and may deduct the refund amounts from future payouts. Repeated event cancellations may result in suspension or termination of your Host account.
- Taxes and Reporting: You are solely responsible for determining and fulfilling any tax obligations arising from your event proceeds, including sales tax, entertainment tax, and income reporting. FestiShare may be required by law to report payout amounts to tax authorities (e.g., IRS Form 1099-K) where thresholds are met. You agree to provide any information reasonably required for FestiShare to fulfill its own reporting obligations.
- Content License: You grant FestiShare a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display the content (images, text, event details, etc.) you upload for the purposes of marketing your event, operating the Platform, and promoting FestiShare generally. This license terminates when you remove the content from the Platform, except to the extent FestiShare has already used it.
- Responsibility for the Event: You are solely responsible for the event itself, including the safety and security of all attendees. FestiShare is not an event organizer and bears no liability for any incident, injury, damage, or loss occurring at or in connection with your event.
- Insurance: For any event at which tickets are sold or at which a significant number of attendees are expected, you are strongly encouraged — and for events with 50 or more expected attendees you are required — to obtain and maintain adequate event liability insurance prior to the event date. Such insurance should cover bodily injury, property damage, and any other claims arising out of or in connection with your event. Where your insurer permits it, you agree to name Party Express 360 LLC (doing business as FestiShare) as an additional insured on that policy. FestiShare reserves the right to request proof of insurance before approving or continuing to list your event. Failure to obtain required insurance does not limit your indemnification obligations under Section 10 of this Agreement, nor does it create any liability on the part of FestiShare.
- Right to Remove: FestiShare reserves the right to remove any event listing, cancel any event, or suspend any Host account at any time and for any reason, including but not limited to violation of this Agreement, receipt of complaints, or reputational risk to the Platform. Where practicable, FestiShare will provide advance notice. In urgent situations (e.g., imminent safety risk, illegal content), removal may be immediate.
4. Terms for Event-Goers
- Ticket License: A ticket purchased through the Platform grants you a personal, revocable, non-transferable license to attend a specific event. This license may be revoked by the Host or FestiShare at any time for any reason, including violation of this Agreement or the Host's event rules, without entitlement to a refund unless otherwise required by law.
- Conduct: You agree to behave in a respectful and lawful manner at all events and on the Platform. You will not harass, threaten, or harm other users or attendees. The Host reserves the right to remove any Event-Goer from an event for disorderly conduct or violation of event rules without a refund.
- Assumption of Risk: You voluntarily assume all risks and dangers incidental to the event for which the ticket is issued, whether occurring before, during, or after the event, including risks arising from the actions of other attendees.
- Age and Eligibility: Certain events may have age restrictions set by the Host. You represent that you meet any age or eligibility requirement disclosed in the event listing. A Host may refuse entry and no refund will be provided if you do not meet these requirements.
5. Payments, Fees, Cancellations, and Refunds
- Service Fee (Event-Goers): A service fee of 5% of the ticket face value is added to each ticket purchase and collected from the Event-Goer at checkout. This fee covers Platform operations and is non-refundable except in the circumstances described below.
- Payment Processing Fees: Third-party payment processors (e.g., PayPal) charge their own processing fees, which are passed through to the purchaser. These fees will be clearly displayed before you complete your purchase.
- Payment Processing: All payments are processed through third-party payment gateways. By completing a transaction, you agree to be bound by the terms of service of the applicable payment processor. FestiShare does not store your payment card information.
- Payouts to Hosts: See Section 3 for the Host payout schedule and fee deduction details.
- Cancellations and Refunds:
- Host cancels the event: Event-Goers will receive a full refund of the ticket face price and the 5% FestiShare service fee. Payment processing fees may not be recoverable depending on the processor's own refund policy.
- Event-Goer wishes to cancel — Refund Policy per Ticket Package: Each ticket package may carry its own refund policy set by the Host at the time the package is created. The possible policies are:
- Refundable anytime — you may cancel and receive a refund up until the event starts.
- Refundable up to [6 h / 12 h / 24 h / 48 h / 72 h / 1 week] before the event — you must cancel before that deadline to receive a refund. Cancellations after the deadline will not be refunded.
- Non-refundable — no refund is issued regardless of when you cancel.
- Group ticket purchases and partial cancellations: When you purchase multiple tickets in a single transaction (a "group buy"), they are linked together. You may cancel individual tickets within the group — except that Ticket #1 (the main ticket that anchors the purchase) can only be cancelled simultaneously with all remaining active tickets in the group. Partial cancellations result in a partial refund equal to the face value of the cancelled tickets, subject to the package refund policy.
- FestiShare-initiated refunds: FestiShare reserves the right to issue refunds in cases of confirmed fraud, material misrepresentation of the event, or failure to hold the event substantially as advertised.
- Fraud and Chargebacks: If you initiate a chargeback with your payment provider for a transaction that is not fraudulent or otherwise not entitled to a refund under this Agreement, FestiShare reserves the right to suspend your account and pursue recovery of the disputed amount through all available legal means.
6. Prohibited Content and Events
The following are prohibited on the Platform. FestiShare reserves the right to remove any content or event and suspend any account that violates these prohibitions without notice or refund:
- Events that facilitate or promote illegal activities of any kind, including the unlicensed sale of alcohol, controlled substances, or weapons.
- Events promoting violence, terrorism, hate speech, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
- Adult-only or sexually explicit events, unless expressly approved in writing by FestiShare and permissible under applicable law.
- Events that infringe the intellectual property rights of any third party.
- Fraudulent, misleading, or deceptive event listings.
- Events at unlicensed or unsafe venues where the Host does not have permission from the property owner.
- Any use of the Platform to collect payments for events the Host does not intend to hold.
- Malicious or deceptive links: Sharing, posting, or transmitting any link, URL, or other content in the Platform's messaging features (group chat or direct messages) that is designed to deceive, phish, defraud, or otherwise harm other users, or that leads to malware, ransomware, spyware, or other malicious software. Users who share such links may have their accounts immediately suspended or permanently terminated and may be reported to law enforcement authorities.
7. Privacy and Data
FestiShare collects and processes personal information (including name, email address, date of birth, gender, and device identifiers) to operate the Platform, deliver tickets, send notifications, and fulfill our legal obligations. Sensitive fields are stored in encrypted form. We do not sell your personal information to third parties.
When you delete your account, your account status is changed to "deleted" and your public profile is removed from the Platform. Certain records (e.g., transaction history, audit logs) may be retained for up to 7 years as required by applicable law and for fraud prevention purposes.
A full Privacy Policy describing our data collection, use, retention, and your rights (including access, correction, and deletion) is available at festishare.com/privacy-policy. By using the Platform you acknowledge and agree to our Privacy Policy, which is incorporated into this Agreement by reference.
8. Intellectual Property
The Platform, including its software, design, trademarks, trade names, and all content created by FestiShare, is owned by Party Express 360 LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended purpose.
9. Limitation of Liability and Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. PARTY EXPRESS 360 LLC AND FESTISHARE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PARTY EXPRESS 360 LLC OR FESTISHARE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (II) ANY CONDUCT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING HOSTS OR EVENT-GOERS; (III) ANY INCIDENTS, INJURIES, OR DAMAGES OCCURRING AT ANY EVENT; OR (IV) ANY HARM, DATA LOSS, FINANCIAL LOSS, IDENTITY THEFT, MALWARE INFECTION, OR OTHER DAMAGE RESULTING FROM YOUR ACCESS TO OR INTERACTION WITH ANY THIRD-PARTY LINK OR WEBSITE SHARED BY ANOTHER USER THROUGH THE PLATFORM'S MESSAGING FEATURES. FESTISHARE APPLIES REASONABLE TECHNICAL MEASURES TO FILTER KNOWN MALICIOUS CONTENT BUT DOES NOT AND CANNOT REVIEW, ENDORSE, OR GUARANTEE THE SAFETY OF LINKS SHARED BY USERS. YOU ACCESS THIRD-PARTY LINKS ENTIRELY AT YOUR OWN RISK.
OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FESTISHARE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).
10. Indemnification
You agree to defend, indemnify, and hold harmless Party Express 360 LLC, FestiShare, and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (i) your use of the Platform; (ii) your violation of this Agreement; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any event you host or attend through the Platform.
11. Dispute Resolution and Arbitration
Informal Resolution First. Before initiating any formal proceeding, you agree to contact FestiShare at [email protected] and make a good-faith effort to resolve the dispute informally. FestiShare will have 30 days to respond.
Binding Arbitration. If the dispute is not resolved informally, you and FestiShare agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in Prince George's County, Maryland, or via video conference if both parties agree. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AND FESTISHARE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both parties agree, the arbitrator may not consolidate more than one person's claims.
Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section waives any right to pursue small claims court proceedings where eligible.
12. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. To the extent any matter is not subject to arbitration under Section 11, the parties consent to the exclusive jurisdiction of the state and federal courts located in Prince George's County, Maryland for the resolution of such disputes.
13. Changes to This Agreement
FestiShare reserves the right to modify this Agreement at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where practicable, notify you by email or in-app notification. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Agreement. If you do not agree to the modified terms, you must stop using the Platform and may delete your account.
14. General Provisions
- Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and FestiShare with respect to the Platform and supersedes all prior agreements, representations, and understandings.
- Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: FestiShare's failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer any rights or obligations under this Agreement without FestiShare's prior written consent. FestiShare may assign this Agreement in connection with a merger, acquisition, or sale of assets.
